These decisions relate in particular to:<\/p>\n<ul>\n<li>decisions entailing an amendment to the articles of association of the portfolio company or its subsidiaries;<\/li>\n<li>approval of the accounts and allocation of profits;<\/li>\n<li>appointment and dismissal of executives;<\/li>\n<li>regulated agreements;<\/li>\n<li>issues and capital reductions;<\/li>\n<li>appointment of the statutory auditors;<\/li>\n<li>strategic decisions of the portfolio company (recruitment\/dismissal of key executives, disposal\/acquisition of major assets, etc.).<\/li>\n<\/ul>\n<p>The purpose of exercising voting rights is to defend the interests of the investors in the Funds managed, although, of course, this exercise must be carried out in accordance with the corporate interest of the portfolio company concerned.
